Terms and Conditions

These General Terms and Conditions of Sale (“Terms”) apply to all quotations, orders, sales, and deliveries of products by ChemBase (“Seller”) to its customers (“Buyer”). By placing an order with ChemBase, the Buyer agrees to these Terms unless otherwise agreed in writing.

1. Orders and Acceptance

All orders are subject to product availability and ChemBase’s confirmation. ChemBase reserves the right to accept or reject orders based on availability, regulatory requirements, credit status, or other commercial considerations.

2. Products and Specifications

Products will be supplied according to the specifications agreed in the quotation, order confirmation, technical data sheet, or other applicable documentation. The Buyer is responsible for confirming that the products are suitable for their intended application.

3. Pricing and Payment

Prices and payment terms will be as stated in the applicable quotation or order confirmation. Payments must be made within the agreed period. ChemBase may suspend further deliveries or require advance payment in case of overdue payments.

4. Delivery

Delivery will be made according to the agreed terms, location, and schedule. Delivery dates are estimates unless specifically agreed otherwise. Risk and delivery responsibilities will be determined according to the agreed delivery terms and applicable Incoterms®.

5. Inspection and Claims

The Buyer should inspect products upon delivery and notify ChemBase promptly of any shortage, damage, incorrect delivery, or apparent defect. Claims for defects that are not immediately identifiable should be reported promptly after discovery.

6. Product Handling and Safety

The Buyer is responsible for the proper storage, handling, transportation, and use of the products in accordance with applicable laws, safety requirements, and product documentation. ChemBase shall not be responsible for losses resulting from misuse, improper handling, or storage.

7. Regulatory Compliance

The Buyer is responsible for complying with all applicable laws and regulations relating to the purchase, import, export, transportation, storage, resale, and use of the products. ChemBase may refuse or cancel transactions where required by applicable laws, sanctions, or regulatory requirements.

8. Technical Information

Any technical information or recommendations provided by ChemBase are provided in good faith for guidance. The Buyer remains responsible for testing and verifying product suitability for its specific application.

9. Limitation of Liability

To the extent permitted by applicable law, ChemBase shall not be liable for indirect, incidental, special, or consequential losses, including loss of profits, production, or business opportunities. Nothing in these Terms limits liability that cannot legally be excluded.

10. Force Majeure

ChemBase shall not be liable for delays or failure to perform obligations caused by circumstances beyond its reasonable control, including natural disasters, war, strikes, government restrictions, transportation disruptions, shortages, port closures, or supplier and logistics disruptions.

11. Confidentiality

Both parties shall maintain the confidentiality of non-public commercial, technical, financial, and business information received in connection with a transaction, except where disclosure is required by law.

12. Governing Law and Disputes

These Terms shall be governed by the applicable laws specified in the relevant sales agreement or quotation. Any disputes shall first be addressed through good-faith discussions. If unresolved, disputes shall be submitted to the competent courts or dispute-resolution forum specified in the applicable agreement.

13. Amendments

ChemBase reserves the right to update these Terms from time to time. The latest version published on this website will apply to future transactions unless otherwise agreed in writing.
